Terms of Service

These Terms of Service ("Terms") govern access to and use of the DeltaX platform, including the web application, Excel Add-in, and Parsing API (collectively, the "Service"), provided by [COMPANY LEGAL NAME] ("DeltaX," "we," "us"). By creating an account, accepting an invite, or otherwise using the Service, you and the organization you represent ("Customer," "you") agree to these Terms.

1. The Service

DeltaX is a commercial real estate deal-management platform that provides CRM and pipeline tools, document-assisted underwriting workflows, optional email/calendar and phone integrations the Customer chooses to connect, and related collaboration features.

2. Accounts & Organizations

• The Service is organized around a single Organization per Customer. An Organization has one or more seats (user accounts), managed by Admin-role users.
• Customer is responsible for all activity under its Organization's accounts and API keys, and for keeping login credentials and API keys confidential.
• Customer must promptly notify us of any unauthorized use of an account or API key.

3. Fees & Billing

• Subscription fees are billed per-seat on a recurring (monthly or annual) basis, plus metered usage fees for Parsing API / AI-processing calls, as described on our pricing page and in the applicable order form.
• Fees are processed via our payment processor and are non-refundable except as required by law or expressly stated otherwise.
• We may suspend access for accounts with a failed or overdue payment after reasonable notice.
• We may change pricing prospectively with at least 30 days' notice before it applies to a renewal term.

4. Acceptable Use

Customer will not, and will not permit any user to:

• Use the Service to violate any applicable law, or to infringe the rights of any third party;
• Attempt to reverse-engineer, decompile, or extract the underlying extraction models, prompts, or source code of the Service;
• Circumvent or exceed rate limits, or use automated means to scrape or bulk-extract data from the Service beyond the documented Parsing API;
• Share API keys or account credentials outside of Customer's own Organization;
• Upload content Customer does not have the right to process, or content containing malware.

5. AI-Generated Output — Important Disclaimer

Parsing results, AI-assisted summaries, draft replies, deal-intelligence scoring, and similar outputs ("AI Output") are generated using automated systems. AI Output may contain errors, omissions, or inaccuracies and is provided for informational and workflow-assistance purposes only. Customer is solely responsible for reviewing and independently verifying any AI Output — including parsed financial data — before relying on it for underwriting, investment, or other business decisions.

6. Customer Data

• Customer retains all right, title, and interest in the data it or its users submit to the Service ("Customer Data"), including contacts, deals, documents, and connected mailbox/calendar/call content.
• Customer grants DeltaX a limited license to host, process, and transmit Customer Data solely to provide, maintain, and improve the Service (including AI processing via our subprocessors — see our Privacy Policy).
• Customer may export its raw Customer Data at any time via Settings → Data Export. On termination, DeltaX will make Customer Data available for export for at least 30 days before deletion, absent a legal obligation to delete sooner.

7. Third-Party Integrations

The Service may integrate with third-party providers Customer chooses to connect (for example email, calendar, phone, maps, or storage). Customer authorizes DeltaX to access and process data from those connected accounts as configured. Those providers' own terms and privacy policies also apply to Customer's use of them.

8. Intellectual Property

DeltaX and its licensors retain all right, title, and interest in the Service, including our extraction models, prompts, taxonomies, software, and documentation. These Terms grant Customer only a limited, non-exclusive, non-transferable right to use the Service during the subscription term — no other rights are granted.

9. Confidentiality

Each party will protect the other's confidential information with at least the same degree of care it uses for its own similar information, and will not disclose it except to personnel and subprocessors who need it to perform under these Terms, or as required by law.

10. Term & Termination

• These Terms remain in effect for as long as Customer maintains an active subscription.
• Either party may terminate for the other's uncured material breach after 30 days' written notice.
• Customer may cancel its subscription at any time via Settings → Billing, effective at the end of the then-current billing period.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE OR ERROR-FREE.

12. Limitation of Liability
